1. Acceptance of Terms

By creating an account or using the unGrained application (“the App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the App. We may update these Terms from time to time. Continued use after changes constitutes acceptance. We will notify you of material changes within the App.

2. Eligibility

You must be at least 16 years of age to create an account and use the App. By using the App, you represent that you meet this age requirement. If we learn that a user is under 16, we will terminate their account and delete their data.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate registration information and to keep it current. You must notify us promptly of any unauthorized use of your account.

4. How the App Works

unGrained allows you to scan gluten-free (“GF”) products, view comparable non-GF product pricing, and track the price differential over time. The App provides an annualized accounting of your extra expenditure on GF products. Pricing data is normalized for differences in package size. The source and date of all compared pricing is recorded for substantiation purposes.

5. Member Responsibility — Price Comparisons

You select which comparable non-GF product pricing to apply to your differentials. The App may present multiple comparison options. You are responsible for reviewing available comparisons and selecting the most appropriate match.

You are given the option to reject any comparison the App suggests if you determine it is not an appropriate match. If you choose to select a comparison that is a less appropriate match than other available options — for example, because it produces a higher differential — that selection and its consequences are solely your responsibility.

6. No Tax, Financial, or Medical Advice

The App is an informational tool. It is not a tax advisor, financial advisor, or medical provider. Any HSA/FSA deduction estimates provided by the App are estimates only, based on the data you provide, and are not tax advice.

You are solely responsible for any information you choose to present to the IRS or any other tax authority as justification for deductions against your taxes, HSA, or FSA. The creators of unGrained (“we,” “us,” or “our”) are not responsible for your use of the information the App provides in connection with any tax filing, audit, or claim. We strongly recommend consulting a qualified tax professional before relying on App data for tax purposes.

7. Data Accuracy

We make reasonable efforts to provide accurate and current pricing data. However, product pricing, availability, and store information may change at any time. We do not guarantee the accuracy, completeness, or timeliness of any data provided through the App, including product pricing, store information, or GF product identification.

The App relies in part on third-party data sources. We are not responsible for errors or omissions originating from third-party sources.

8. Prohibited Uses

You agree not to use the App:

•  To fabricate, inflate, or misrepresent pricing data or purchase history

•  To generate fraudulent documentation for tax deductions or insurance claims

•  To submit false or misleading information to any government agency

•  To reverse-engineer, decompile, or disassemble the App

•  To access or attempt to access other users’ accounts or data

•  To interfere with or disrupt the App’s servers or infrastructure

•  For any purpose that violates applicable law

We reserve the right to suspend or terminate your account if we have reasonable grounds to believe you are using the App for fraudulent or prohibited purposes.

9. Data Sharing and Consent

We may in the future offer the ability to share your purchase data — in aggregated or individual form — with third parties for purposes such as research, advocacy, or market analysis. Any such sharing will require your separate, explicit, informed consent before it occurs. You will always have the ability to opt out. Details will be presented to you at the time consent is requested.

10. Intellectual Property

The App, including its design, code, content, features, and branding, is owned by unGrained and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from any part of the App.

11. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA PROVIDED WILL BE ACCURATE OR COMPLETE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UNGRAINED, ITS CREATORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO DAMAGES RELATED TO TAX FILINGS, AUDITS, PENALTIES, OR CLAIMS MADE BASED ON DATA FROM THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless unGrained, its creators, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the App, your violation of these Terms, or your use of App data in connection with any tax filing, deduction claim, or government submission.

14. Account Cancellation

You may cancel your account at any time by using the Delete Account button on your profile page. Upon cancellation, your account and all associated data will be deleted within 30 days. We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice.

15. Third-Party Services

The App may integrate with or link to third-party services (e.g., Google Places API, OpenStreetMap). These services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Rhode Island, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved exclusively in the state or federal courts located in Providence County, Rhode Island. You waive any objection to jurisdiction or venue in such courts.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and unGrained regarding your use of the App and supersede any prior agreements.
